Establish the correct dates
Confirm the company’s incorporation details, prior annual return and relevant general-meeting information. Use the Registrar’s guidance and annual-return date calculator to establish the reference date and deadline for the particular company.
Do not apply a generic calendar reminder without checking the underlying date. A special extension for specified overdue filings is not necessarily an extension of every company’s future annual obligations. Keep the notice relied on with the deadline calculation.
Reconcile company particulars
Compare the return to the statutory registers and approved changes in officers, registered office, share capital and shareholders as required by the form. Identify any separately reportable change that remains outstanding instead of assuming HE32 fixes all earlier omissions.
For an example control, reconcile the share total and ownership at the relevant date to the register of members. A spreadsheet based on today’s ownership may be wrong if the return refers to an earlier date before a transfer.
Prepare the financial-statement attachments
Check which financial statements and associated reports must accompany the filing for the company’s circumstances. Confirm that the version is final, approved and correctly signed where required. Do not attach a working draft or an unsigned version simply because the numbers match.
Coordinate the accounting, audit or review process and company-secretarial filing early. The required assurance treatment must be assessed on its own conditions; HE32 is not an application for an automatic audit exemption.
Verify completion and retain evidence
Check the selected company, reference date, attachments and applicable filing fee before submission. Retain the filed return, attached accounts, payment evidence and system acknowledgement, and review any rejection or request for correction.
