Start with the ownership chain
Prepare an up-to-date structure chart showing the legal entity, intermediate owners and the natural persons identified through ownership or control. Reconcile it to share records and changes during the year. A corporate shareholder’s name is not the end of the beneficial-ownership analysis.
Review the factual basis for any senior-management-official entry or due-diligence position. Do not simply copy last year’s submission if new information has become available. Resolve uncertainty before marking the information as confirmed.
Check the details against evidence
Verify the information required by the current system against reliable identification and ownership records. Keep dates of changes and supporting approvals. Check that the person handling the submission has the appropriate access and authority before the filing window becomes urgent.
For example, a share transfer in June may require a change notification even though the annual confirmation occurs later. Waiting for the annual window is not a substitute for complying with the separate change-reporting requirement.
Complete outstanding actions before confirmation
The Registrar’s notice explains the sequence where registration, amendments or other relevant actions are needed during the confirmation period: complete the required underlying action before annual confirmation. Use the current system guidance and verify the organisation selected before submitting.
Do not treat a saved draft or screenshot of entered data as proof of completion. Check the resulting status and retain the submission reference or other confirmation provided by the system.
Close the annual control
Record the reviewer, submission date and evidence location in the company’s compliance calendar. Set responsibility for monitoring later ownership or control changes. Keep sensitive identity documents in an appropriately restricted file rather than circulating them unnecessarily.
The HE32 annual return is a separate filing. An inactive company should assess its continuing UBO obligations instead of assuming that no sales means no compliance work.
